1. Agreement to Rules

By entering the Threadfast Apparel giveaway (“Giveaway”), you agree to be fully and unconditionally bound by these terms and conditions (“Terms & Conditions”), and you represent and warrant that you satisfy all eligibility requirements set forth herein. In addition, you agree to accept any decision made by Threadfast Apparel, as final and binding as it relates to the content. You acknowledge that this Giveaway is not sponsored, endorsed, or administered by or associated with Instagram. 

2. Eligibility

This Giveaway is open only to those who meet with all requirements set forth in these Terms & Conditions by Threadfast Apparel. The Giveaway is only open to individual legal residents of the United States and Canada who have an Instagram account and are of legal age of majority in their state or country of residence prior to the date of entry, and is void where prohibited by law. The Giveaway is subject to all applicable federal, state and local laws and regulations. 

3. Giveaway Period

Entries will be accepted via online starting on April 19th, 2021 and ending April 30th , 2021. All Instagram entries must be received by April 30th 2021 11:59PM EST.

4. How to Enter

To enter the Giveaway, you must post a photo on your own personal Instagram account as indicated in the Instagram Tree Giveaway webpage located at https://threadfast.com/pages/tree-giveaway. The photo must fulfill all the Giveaway requirements, as specified in the Giveaway webpage, to be eligible to be awarded a tree. Photos that fail to adhere to the rules or specifications will be disqualified at the sole discretion of Threadfast Apparel. You may be rewarded with a tree only once and you must use the hashtags requested in the Giveway webpage. You may not enter more than once and if you use multiple email addresses, identities or devices in an attempt to circumvent these Terms & Conditions you will not be eligible for the Giveaway. If you use any fraudulent methods or otherwise attempt to circumvent the rules your submission will be removed from eligibility at the sole discretion of Threadfast Apparel.

5. Giveaway

All eligible Instagram photo posters will be gifted one tree planted purchased through the One Tree Planted organization (https://onetreeplanted.org/). Actual/appraised value may differ at time of the award. The specifics of the Giveaway shall be solely determined by Threadfast Apparel. No cash or other prize substitution permitted except at Threadfast Apparel’s discretion. This Giveaway is non-transferable. No substitution of Giveaway or transfer/assignment of Giveaway to others or request for the cash equivalent by you are permitted. 

6. Participant selection and notification

Eligible Instagram posters of the Giveaway will be selected under the supervision of Threadfast Apparel. If you are a winner, you will be notified via direct message throughInstagram to the account in which the photo was posted within five (5) days following Threadfast Apparel’s selection. If the selected winner cannot be contacted, is ineligible, fails to claim the Giveaway within fifteen (15) days from the time award notification was sent, or fails to timely return a contact email address as required, Giveaway will be deemed as forfeited.

Threadfast Apparel is not responsible for: (a) lost, misdirected, late, or incomplete entries or for inaccurate entry information; (b) any operation or transmission error, theft, unauthorized access to, or alteration of, entries; or (c) damage to any computer or device resulting from participating in this Giveaway. Threadfast Apparel may disqualify any individual found to be: (x) tampering with the Giveaway; (y) violating these Terms & Conditions; or (z) acting in an unsportsmanlike or disruptive manner or with intent to threaten or harass any person.

The receipt by winner of the tree offered in this Giveaway is conditioned to compliance with any and all federal and state laws and regulations.

7. Rights Granted by you

You agree, that by participating in this Giveaway you grant Threadfast Apparel or anyone acting on behalf of Threadfast Apparel, or its respective licensees, successors and assigns, where permitted by law, without any further notice, the right to use, print, publish, broadcast, and distribute worldwide in any media now known or hereafter in perpetuity, your entry, including without limitation, your name, portrait, picture, likeness, image or statements about the Giveaway, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

8. Terms

Threadfast Apparel reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Giveaway. Threadfast Apparel reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Giveaway or website or violates these Terms & Conditions.

Threadfast Apparel has the right, in its sole discretion, to maintain the integrity of the Giveaway, to void entries for any reason.

Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws and should such an attempt be made, Threadfast Apparel reserves the right to seek damages from any such person to the fullest extent permitted by law.

9. Limitation of Liability

By entering you agree to release and hold harmless Threadfast Apparel and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors (the “Released Party”) from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not of the Released Party, from your participation in the Giveaway and/or your acceptance, possession, use, or misuse of any prize or any portion thereof, technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; the unavailability or inaccessibility of any transmissions or telephone or Internet service; unauthorized human intervention in any part of the entry process or the Giveaway; electronic or human error which may occur in the administration of the Giveaway or the processing of entries.

10. Disputes

This Giveaway is governed by the laws of the United States, without respect to conflict of law doctrines. As a condition of participating in this Giveaway, you agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Giveaway, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York having jurisdiction. Further, in any such dispute, under no circumstances will you be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Giveaway), and you further waive all rights to have damages multiplied or increased.
